Mémorandum

To: All Bayard Inc. Employees
From : Didier Remiot
Date : Feb. 6, 2007
Subject : Procedures

We have realized that some of the principles driving our operations were worth writing so that every employee would be aware of them.

We have worked accordingly at devising very simple procedures on the following topics :

· TRAVEL AND ENTERTAINMENT. This procedure gives some general principles so that Bayard Inc. can optimize the costs of travelling and entertainment.

· TIME-OFF REQUEST. This procedure explains how to get approval for time-off.

· PURCHASE REQUISITION. This procedure explains how to get approval for buying supplies.

· PURCHASE APPROVAL. This procedure aims at getting management a better vision of high ticket expenses.

· PRODUCT FEASIBILITY. This procedure details how to evaluate profitability of a book, booklet or media product before deciding to produce it.

· BANK AUTHORITIES. This procedure details the names of authorized signers on the company bank accounts, together with the limitations implemented on money movements.

· PRINT ORDER. This procedure establishes how the Print-order of the magazines should be set and how the print-run and distribution of copies are controlled.

· PERIODICAL REPORTS. This procedure lists the main periodical reports needed to monitor Bayard Inc. East Coast operations, their periodicity, when and by whom they are released, and who should receive and analyze them

Would you please consult these procedures on the following website : http://bayard-inc.com/procedures/To access that page, please use your personal username and password as set by Paul Bourque.

I am aware that some of the reorganization which is just now being implemented in the company will soon lead to changes in some of these procedures. We will amend them as needed and post on the Internet the revisions as they will get approved. Moreover, some other procedures will need to be written.

I hope you will find interesting this attempt at making a bit more clear how we want to operate and would like to ask for your help at improving the effectiveness of Bayard Inc.’s operations by implementing these principles and rules. Do not hesitate contacting me should you have any question.
